1. Introduction

These Terms and Conditions govern the use of the Kachi Studio website (www.kachi.studio) and the services provided by Melissa Carvigant, trading as Kachi Studio, registered as an auto-entrepreneur in France.

By using our website or engaging our services, you agree to these terms. If you do not agree, please do not use our website or services.

2. Services

Kachi Studio provides web design, web development, and digital platform setup services for community-led businesses and mission-driven founders. Specific deliverables, timelines, and fees are agreed in writing before any project begins.

3. Proposals and Agreements

All project work begins with a written proposal outlining scope, deliverables, timeline, and pricing. Work commences upon receipt of a signed agreement and deposit payment as specified in the proposal.

Any changes to the agreed scope must be requested in writing and may result in additional fees and revised timelines.

4. Payment Terms

Payment terms are outlined in each project proposal. Standard terms are:

- A deposit of 50% is due before work begins

- The remaining balance is due upon project completion, before final files or site launch are delivered

- Invoices are issued in euros and are payable within 14 days of issue

Late payments may result in work being paused until payment is received.

5. Client Responsibilities

The client is responsible for:

- Providing accurate and complete content, materials, and feedback in a timely manner

- Ensuring they have the legal right to use any content, images, or trademarks provided to Kachi Studio

- Reviewing and approving deliverables within the agreed timeframe

Delays caused by the client may affect the project timeline and are not the responsibility of Kachi Studio.

6. Revisions

Each project includes one round of revisions unless otherwise stated in the proposal. Additional revisions beyond the agreed scope will be charged at the applicable hourly or day rate.

7. Intellectual Property

Upon receipt of full payment, the client receives full ownership of the final website design and content created specifically for their project.

Kachi Studio retains the right to display completed work in its portfolio and use it for promotional purposes unless the client requests otherwise in writing.

Any third-party assets used in the project (fonts, stock images, plugins) remain subject to their respective licences, which are the client's responsibility to maintain after handover.

8. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the project and not to disclose it to third parties without prior written consent.

9. Limitation of Liability

Kachi Studio will deliver services with reasonable skill and care. However, we are not liable for:

- Any indirect, incidental, or consequential loss arising from the use of our services

- Issues arising from third-party platforms, hosting providers, or tools beyond our control

- Any loss of data, revenue, or business resulting from website downtime or technical failures

Our total liability in any circumstance is limited to the amount paid by the client for the relevant project.

10. Cancellation

Either party may cancel a project with written notice. If the client cancels after work has begun, the deposit is non-refundable. Any work completed beyond the deposit value will be invoiced and is payable within 14 days.

If Kachi Studio cancels a project, any fees paid beyond the work completed will be refunded.

11. Website Use

You may use the Kachi Studio website for personal and informational purposes only. You may not:

- Copy, reproduce, or distribute any content from this website without permission

- Use the website for any unlawful or fraudulent purpose

- Attempt to gain unauthorised access to any part of the website

12. Governing Law

These Terms and Conditions are governed by the laws of France. Any disputes will be subject to the exclusive jurisdiction of the French courts.

13. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. The most recent version will be published on our website. Continued use of our services after changes constitutes acceptance of the updated terms.
